Anti-Corruption Measures

Principle

Winner Group Enterprise Public Company Limited (“The Company”) is committed to conducting its business in accordance with good corporate governance principles to achieve sustainable growth. The Company upholds integrity and honesty, and does not seek personal benefits that conflict with the interests of the Company. It operates with fairness and transparency, and takes responsibility for society as well as all stakeholder groups across the value chain, including shareholders, business partners, customers, and competitors.

    • Directors, executives, and employees of the Company are strictly prohibited from offering or giving bribes, whether directly or indirectly, to any government officials, employees, agents, or any other persons related to the business, with the intention of obtaining undue benefits for the Company.
    • Directors, executives, and employees of the Company are prohibited from engaging in, participating in, demanding, carrying out, or accepting any form of corruption, whether directly or indirectly, such as bribery for the Company’s business benefit.
    • Promote awareness and require all personnel to take responsibility for preventing and combating corruption in all forms.
    • Promote, provide training, orientation, and education on anti-corruption policies and practices, as well as offer incentives to employees and business partners to eliminate bribery, in line with the Sufficiency Economy Philosophy and the promotion of integrity.
    • Support the establishment of appropriate internal control systems for the Company’s business operations, covering financial record-keeping, accounting processes, and other relevant operational procedures.
    • Encourage employees and other stakeholders to report any violations of the anti-corruption policy, unfair practices, or unethical conduct through whistleblowing channels, suggestions, or complaint mechanisms; ensure that all reports are fairly investigated; and provide protection measures for whistleblowers. Ensure that employees who refuse to engage in corruption are not demoted, penalized, or subjected to any negative consequences, even if such refusal results in the loss of business opportunities, and require executives and supervisors to communicate this clearly to employees.
    • Promote communication of the anti-corruption policy both internally and externally to ensure widespread adherence, including requiring subsidiaries under the Company’s management control to implement this policy.
    • In the event that corruption is detected, it must be reported to the Board of Directors immediately.
    • The Company maintains political neutrality by not providing support or engaging in any actions that demonstrate affiliation with any political party, whether directly or indirectly, including the use of the Company’s resources in activities that may compromise its political neutrality and/or cause damage from involvement in such activities.
    • The Company encourages employees at all levels to comply with applicable laws, uphold democratic principles, and exercise their political rights as responsible citizens. Employees may participate in political activities in their personal capacity, provided that such participation does not affect their working hours or job performance for the Company.
    • The Company does not permit directors or executives to instruct, influence, or pressure employees by any means to participate in any form of political activities, which may cause conflicts within the organization and result in damage to the Company.
